Terms & Conditions

These terms govern your use of TaxChad (the "Service"), operated by TaxChad Ltd, a company registered in England and Wales (company number 17346680), registered office 15 Westbury Court Road, Bristol, BS9 3BU ("TaxChad", "we", "us"). By creating an account you agree to these terms.

1. The Service

TaxChad provides cloud bookkeeping, invoicing, VAT and related accounting tools for UK small businesses and their accountants. Certain features (for example VAT submissions and Companies House lookups) rely on third-party APIs and are subject to their availability and terms.

2. Accounts

You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account. You must be at least 18 and authorised to bind the business you represent.

3. Subscriptions & fees

Paid plans are billed in advance via Stripe on a recurring basis until cancelled. Fees are non-refundable except where required by law. We may change pricing on notice; changes take effect at the next renewal.

Minimum term. The Ledger tier is billed monthly with no minimum term. The Ledger + File and Complete tiers include annual services (statutory accounts, CT600 and a director's SA100) and carry a minimum term of 12 months from the start of your subscription. Fees paid during the minimum term are non-refundable.

4. Your data

You retain ownership of the data you upload. You grant us a limited licence to host and process it solely to provide the Service. Our handling of personal data is described in the Privacy Policy.

5. Acceptable use

You must not use the Service unlawfully, upload malicious code, attempt to breach security, scrape or reverse engineer the Service, or use it to submit false information to HMRC or Companies House.

6. Companies House data

Company information is retrieved from the Companies House public register and is provided as-is. We do not warrant its accuracy or completeness. You must comply with the Companies House terms of use when relying on that data.

7. Professional responsibility

Except where you have separately engaged a regulated accountancy practice under a signed engagement letter for accountancy services, the Service is a software tool and does not constitute regulated tax, accounting or legal advice. You remain responsible for the accuracy of returns and filings you make.

8. Availability

We aim to keep the Service available but do not guarantee uninterrupted access. We may suspend the Service for maintenance, security or legal reasons.

9. Liability

To the maximum extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, revenue, goodwill or data. Our total aggregate liability in any 12-month period is limited to the fees paid by you for the Service in that period. Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

10. Cancellation, data access and retention

10.1 You may cancel your subscription at any time via your account settings. For the Ledger tier, cancellation takes effect at the end of your then-current billing period. For the Ledger + File and Complete tiers, cancellation takes effect at the end of the 12-month minimum term described in section 3, and the subscription continues on a monthly basis after that term unless cancelled. Fees already paid are non-refundable except to the extent required by law.

10.2 Access after termination. When your subscription ends, your access to TaxChad ends. We do not provide read-only access after termination.

10.3 We do not delete your data. Termination does not delete your records. You can request a copy of your data at any time, before or after termination, by emailing privacy@taxchad.com. We will respond within one month.

10.4 Your records are yours. UK companies are generally required to keep accounting records for at least six years for tax purposes. We do not delete your records automatically, so that you can continue to meet that obligation. You can ask us to delete them at any time - see our Privacy Policy.

10.5 Accountant hand-over. If an accountant acted for you through the Service under Review & File, on cancellation we will provide a hand-over pack including your most recent filed returns, trial balance, journals and supporting schedules at no additional charge, and will respond to any professional clearance request from your incoming accountant in the normal way.

10.6 We may suspend or terminate accounts that breach these terms.

11. TaxChad Payments and open banking

11.1 Agent status. Once bank feeds are live, and where enabled for your account, open banking account information and payment initiation services within TaxChad Payments are provided by Finexer Ltd, authorised and regulated by the Financial Conduct Authority (FRN 925695). TaxChad is a registered agent of Finexer Ltd for these services. Finexer is the regulated provider; we act on its behalf and are not ourselves an FCA-authorised payment institution.

11.2 Consent. We will only access your bank data or initiate a payment where you have given explicit consent for that purpose. Consents are recorded, time-limited, and can be withdrawn at any time from the Compliance page in your account.

11.3 Funds. Payments move directly from the payer's bank to your nominated account. TaxChad does not hold client money and does not take possession of your funds at any point.

11.4 Verification. Before enabling payments we carry out identity and business verification checks (including Companies House, director and sanctions screening). We may decline, suspend or withdraw access where a check cannot be completed satisfactorily or where the activity is one we do not support.

11.5 Complaints. Complaints about the regulated open banking service can be raised with us and will be passed to Finexer Ltd, and may ultimately be referred to the Financial Ombudsman Service.

12. Changes to these terms

We may update these terms from time to time. Material changes will be notified in-app or by email and take effect on the date stated in the notice.

13. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any disputes.
